The terms governing your use of the Trivium TMS platform.

Terms of Service

1. Acceptance of Terms

By accessing or using triviumtms.com, the Trivium TMS platform, or any associated services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Trivium United LLC (“Trivium,” “we,” “us,” or “our”).

2. Description of Service

Trivium TMS is a software-as-a-service (SaaS) transportation management system designed for freight and auto transport brokerages. The Platform provides:

  • Broker Portal — lead management, quoting, order management, dispatch operations, carrier matching, billing, document generation (Rate Confirmations, Bills of Lading, Invoices), pricing insights, and compliance tools.
  • Shipper Portal — shipment tracking, quote requests, order history, document access, and payment management.
  • Carrier Portal — load management, document uploads, equipment and route management, onboarding, and electronic signature capabilities.

Trivium United LLC is a technology provider. We do not act as a freight broker, carrier, or shipper. All transportation arrangements are made directly between the parties using the Platform.

3. Account Registration & Security

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • Each individual user must have their own account. Account sharing is prohibited.
  • Company administrators are responsible for managing team member access, roles, and permissions within their organization.
  • You must notify us immediately of any unauthorized use of your account at support@triviumtms.com.

4. User Roles & Responsibilities

4.1 Brokers

Broker users are responsible for:

  • Accuracy of all shipment data entered into the Platform, including vehicle descriptions, pickup/delivery locations, and pricing.
  • All carrier selection and vetting decisions. While the Platform provides FMCSA data and carrier matching tools, the broker retains full responsibility for due diligence.
  • Compliance with all applicable FMCSA regulations, including maintaining a valid broker authority (MC number) and surety bond.
  • Timely payment to carriers per agreed-upon terms.

4.2 Shippers

Shipper users are responsible for:

  • Providing accurate vehicle and freight descriptions, including condition, dimensions, and any special requirements.
  • Ensuring pickup and delivery availability as scheduled.
  • Timely payment per agreed-upon terms between shipper and broker.

4.3 Carriers

Carrier users are responsible for:

  • Maintaining valid USDOT and MC authority throughout the duration of Platform use.
  • Maintaining adequate cargo and liability insurance as required by law and as represented on the Platform.
  • Providing accurate equipment types, route preferences, and availability information.
  • Safe, lawful, and timely transport of all shipments accepted through the Platform.

5. Billing & Payments

  • Access to the Platform may require payment of subscription fees, which will be disclosed at the time of registration or plan selection.
  • Transaction fees may apply to certain Platform features, as disclosed in your service agreement.
  • Payments are processed through third-party payment providers (e.g., Stripe). Trivium does not store credit card information.
  • Brokers are solely responsible for payments owed to carriers. Trivium is a technology provider and is not a party to any transport contract or payment obligation between brokers, carriers, and shippers.

6. Prohibited Uses

You may not use the Platform to:

  • Enter fraudulent, misleading, or false shipment data.
  • Access or attempt to access accounts, systems, or data not belonging to you.
  • Scrape, crawl, or harvest data from the Platform through automated means.
  • Circumvent the Platform to conduct off-platform transactions with contacts discovered through the Platform.
  • Impersonate another person, company, or entity.
  • Use the Platform in connection with illegal cargo, contraband, or any activity that violates applicable law.
  • Interfere with or disrupt the Platform’s infrastructure, security, or other users’ access.

7. Intellectual Property

  • The Platform, including all software, code, design, branding, logos, and documentation, is owned by Trivium United LLC and is protected by copyright, trademark, and other intellectual property laws.
  • You retain ownership of all data you enter into the Platform. By using the Platform, you grant Trivium a limited license to process, store, and display your data as necessary to operate the service.
  • You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the term of your subscription.

8. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Aggregated and anonymized data may be used for pricing insights, market intelligence, and Platform improvement.

9. Third-Party Integrations

The Platform integrates with third-party services including FMCSA/SAFER, Central Dispatch, Super Dispatch, TruckStop, and Google Maps. Trivium is not responsible for the availability, accuracy, or performance of third-party services. Your use of such services may be subject to their own terms and conditions.

10. Limitation of Liability

  • Trivium United LLC is a technology platform provider. We are not a broker, carrier, or shipper, and we do not participate in the transportation of goods.
  • Trivium is not liable for cargo damage, loss, or theft; delivery delays; carrier performance or misconduct; disputes between brokers, carriers, and shippers; or any financial losses arising from transportation arrangements made through the Platform.
  • The Platform is provided “as is” and “as available” without warranties of any kind, express or implied.
  • To the maximum extent permitted by law, Trivium’s total liability for any claims arising from use of the Platform shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered in Miami-Dade County, Florida. Each party shall bear its own costs and attorney’s fees unless otherwise ordered by the arbitrator.

12. Termination

  • Either party may terminate the service agreement at any time with written notice.
  • Upon termination, your company data will be retained for thirty (30) days to allow for data export, after which it will be permanently deleted.
  • Trivium may immediately suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Platform or other users.

13. Modifications to Terms

Trivium may update these Terms from time to time. We will provide at least thirty (30) days’ notice of material changes via email and Platform notification. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
